1. INTRODUCTION

These Terms & Conditions govern the use of this website and the sale and supply of products by HF Drinks Limited ("HF Drinks", "we", "us", "our").

By accessing this website, registering for an account, requesting quotations, purchasing products, or otherwise engaging with our services, you agree to be bound by these Terms & Conditions.

2. TRADE CUSTOMERS AND WEBSITE USE

HF Drinks is an alcohol consultancy, importer and distributor supplying wines, spirits and related products primarily to trade and commercial customers. This website is intended to provide information about our products and services, facilitate customer account management, and enable HF Drinks' commercial team to create and manage orders on behalf of approved customers. Customers do not place orders directly through the website. All orders are created, reviewed and submitted by HF Drinks' commercial team following direct communication with the customer.

Access to certain areas of the website may be restricted to approved customers. We reserve the right to approve, refuse, suspend or terminate access to customer accounts at our sole discretion.

3. CUSTOMER ELIGIBILITY

By purchasing products from HF Drinks, you confirm that:

• You are legally entitled to purchase alcohol in your jurisdiction.
• You are at least 18 years of age.
• Any information provided to us is accurate, complete and up to date.
• Where applicable, you hold all licences, registrations, permits or approvals required to purchase, store, distribute or resell alcoholic beverages.

We may request evidence of age, licensing, trade status, identity verification or other compliance documentation at any time.

4. ALCOHOL COMPLIANCE

HF Drinks is committed to complying with all applicable alcohol legislation and regulatory requirements. By purchasing alcoholic products from us, you confirm that:

• You will comply with all applicable laws relating to the purchase, storage, transportation, sale and distribution of alcohol.
• You will not sell, supply or make available alcohol to any person below the legal drinking age.
• You hold all licences, permits and approvals required for your activities.
• Products purchased from us will not be exported, resold or distributed in breach of any applicable laws or regulations.

We reserve the right to refuse, suspend or terminate supply where we reasonably believe legal, licensing or regulatory obligations are not being met.

5. AWRS, DUTY AND REGULATORY COMPLIANCE

HF Drinks Limited operates in accordance with all applicable UK excise, customs and alcohol regulations, including the Alcohol Wholesaler Registration Scheme (AWRS), where required. Where products are supplied duty-paid, all applicable UK excise duties will be included or separately identified within the quotation or order confirmation. Where products are supplied under duty suspension, bonded warehouse arrangements or other approved excise procedures, customers are responsible for ensuring they hold all necessary approvals, registrations, licences and authorisations required to receive, store, transport or distribute such products. Customers agree to provide any information reasonably requested by HF Drinks to satisfy regulatory, customs, excise, anti-fraud, anti-money laundering, sanctions screening or due diligence requirements. HF Drinks reserves the right to refuse, suspend or cancel any order where:

• We are unable to verify a customer's identity, business status, licensing or regulatory compliance.
• We reasonably believe a transaction may breach applicable excise, customs, sanctions, licensing or alcohol legislation.
• Information provided by the customer is incomplete, inaccurate or misleading.

Customers shall indemnify HF Drinks against any loss, liability, penalty, duty assessment, interest, cost or regulatory action arising from the customer's breach of applicable alcohol, customs, excise or licensing laws.

6. ORDERS

All orders are processed through HF Drinks' commercial team. Product availability, pricing, quantities, payment terms and delivery arrangements will be agreed directly between the customer and our commercial team before an order is confirmed. An order shall only become legally binding when HF Drinks issues written confirmation of acceptance. We reserve the right to:

• Refuse any order.
• Limit quantities supplied.
• Cancel orders before acceptance.
• Substitute vintages where appropriate.
• Amend product specifications where necessary.

7. PRICING

Unless otherwise stated in writing:

• Trade prices are exclusive of VAT.
• VAT will be charged at the applicable rate.
• Excise duties and other applicable taxes are included or excluded as specified within the quotation or order confirmation.

Prices may change prior to order acceptance due to changes in supplier costs, exchange rates, duties, taxes, transport costs or other factors outside our reasonable control. Any pricing error may be corrected prior to acceptance of an order.

8. PAYMENT TERMS

Payment terms shall be agreed separately with each customer and confirmed in writing. Where credit terms are provided:

• Payment must be made by the agreed due date.
• Failure to pay may result in suspension of supply.
• We reserve the right to withdraw credit facilities at any time.

Interest may be charged on overdue amounts at a rate of 8% per annum above the Bank of England base rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

9. DELIVERY

Delivery arrangements will be agreed directly with the customer. Delivery dates are estimates only and are not guaranteed unless expressly agreed in writing. Risk in the goods passes to the customer upon delivery. Title to the goods remains with HF Drinks until full payment has been received in cleared funds. Where alcohol is delivered to a private address, a person aged 18 or over must be available to accept delivery and provide proof of age if requested. If delivery cannot be completed due to age verification concerns, customer unavailability or incorrect delivery information, additional delivery charges may apply. HF Drinks shall not be liable for delays caused by circumstances beyond our reasonable control, including transport disruptions, weather events, industrial action, customs delays, port congestion, supplier failures or supply chain interruptions.

10. PRODUCT INFORMATION

We take reasonable care to ensure product descriptions, vintages, tasting notes, images and specifications are accurate. However:

• Product images are for illustrative purposes only.
• Vintages may change without notice.
• Packaging, labelling and presentation may vary from those shown.
• Minor variations may occur between batches.

Where a product becomes unavailable, we may offer a suitable alternative or refund any monies paid.

11. RETURNS AND CLAIMS

Customers must inspect products promptly upon delivery. Any claim for damaged, defective, short-delivered or incorrectly supplied goods must be reported within five (5) working days of delivery. Returns will only be accepted where:

• Goods are damaged in transit.
• Goods are defective.
• Goods supplied do not match the confirmed order.

No returns will be accepted without prior written authorisation from HF Drinks. Approved returns must be returned in their original condition unless otherwise agreed.

12. INTELLECTUAL PROPERTY

All content on this website, including text, product descriptions, graphics, logos, photographs, trademarks, branding, software and design elements, remains the property of HF Drinks Limited or its licensors. No content may be copied, reproduced, distributed, modified, republished or used without prior written consent.

• HF Drinks shall not be liable for any indirect, consequential, special, incidental, or economic loss, including loss of profits, loss of business, loss of goodwill, or loss of anticipated savings.

• HF Drinks' total aggregate liability arising out of or in connection with any order, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the amount paid by the customer for the products giving rise to the claim.

16. FORCE MAJEURE

HF Drinks shall not be liable for any failure or delay in performing its obligations due to events beyond its reasonable control, including natural disasters, pandemics, transport disruptions, strikes, governmental actions, customs delays, supplier failures, utility interruptions or other force majeure events.

17. CHANGES TO THESE TERMS

We may amend these Terms & Conditions from time to time.

The version in force at the date an order is confirmed shall apply to that order.

Updated versions will be published on this website.

18. GOVERNING LAW

These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any dispute arising from these Terms & Conditions or the supply of products by HF Drinks Limited.
